Western Secures Livestock Insurers, Fuels Growth with $50M Placement

TORONTO – The Western Investment Company of Canada Limited (TSXV: WI) announced on October 19, 2026, a definitive agreement to acquire Canadian Farm Insurance Corp. and Stockmens Insurance for a combined purchase price of $52.5 million. This strategic acquisition, aimed at establishing a robust insurance and investments platform, will be concurrently financed by a best efforts private placement targeting approximately $50 million in gross proceeds. The transaction sees Western stepping into the specialized property and casualty livestock insurance market, with a leadership change placing current Western Chair Scott Tannas at the helm of the acquired entities.

Acquisition Details and Valuation

Western will purchase all issued and outstanding shares of Canadian Farm, an Alberta-regulated property and casualty insurer, and Stockmens, managing general agencies operating in Canada and the United States, from affiliates of Nilsson Bros. Inc. (NBI). NBI, identified as one of the largest operators of livestock auction markets in Western Canada, will receive $42.3 million for Canadian Farm and $10.2 million for Stockmens. The valuation for Canadian Farm represents approximately 7 times its 2026 estimated adjusted profit before tax, while Stockmens is valued at approximately 10 times its 2026 estimated profit before tax. The acquisition of Canadian Farm remains conditional upon regulatory approval from the Alberta Minister of Finance under the Insurance Act (Alberta).

Canadian Farm specializes in niche livestock transit insurance, an embedded product protecting animals from the producer’s yard through the auction, primarily distributed through Western Canadian cattle auction markets. It is licensed to write insurance across the country, excluding Quebec. The company also writes livestock mortality insurance with market-unique extensions that offer coverage for breeding and fertility. Stockmens comprises two MGAs that distribute mortality insurance for breeding bulls and other high-value cattle on behalf of a Lloyd’s syndicate in Canada and an admitted carrier in the U.S.

Strategic Rationale and Growth Opportunities

This acquisition is positioned as a foundational step in Western’s development into a broader insurance and investments platform. According to the company, the Canadian Farm and Stockmens businesses offer an established, profitable insurance platform with significant opportunity for scalable, expense-lite growth.

Business and Transaction Highlights

  • Embedded Product and Proprietary Distribution: Transit insurance is provided directly at cattle auction markets at the time of sale, leveraging an established distribution channel.
  • Proven Underwriting Profitability: Canadian Farm has demonstrated an underwriting profit in each of the last ten years, maintaining consistently low and stable loss ratios.
  • Short-Tail, Cash-Generative Book: The transit insurance business, Canadian Farm’s largest and most profitable line, benefits from rapid claims reporting and settlement, supporting strong cash generation and predictable financial results.
  • Complementary Fee Income: Stockmens contributes recurring commission income, diversifying earnings alongside Canadian Farm’s underwriting results and expanding Western’s footprint with a U.S. presence, holding licenses in 18 states.
  • Growth Opportunities: Under Western’s ownership, Canadian Farm is anticipated to be well-positioned to expand coverage to additional auction markets across Canada and into complementary lines of business.

Paul Rivett, Chief Executive Officer of Western, stated, “Canadian Farm and Stockmens are well-run specialty insurance businesses with a long record of profitable underwriting. This is a compelling acquisition for Western’s shareholders, and we are excited to welcome Scott back to an operating role as CEO where his leadership and long track record of building successful Canadian businesses will be invaluable.” Kyle Pickens of Thermo Companies added, “This is the type of transaction that Thermo was hoping the Western team would deliver. We like that Canadian Farm and Stockmens are well managed, niche insurance operations with substantial growth opportunities in its direct markets.”

Financial Performance Overview

The acquired businesses demonstrate a robust financial profile. Canadian Farm Insurance Corp. reported gross written premiums of $20.444 million in 2023, projected to increase to $29.786 million by 2026. Its adjusted profit before tax is estimated to grow from $5.086 million in 2023 to $6.158 million in 2026. The net loss ratio is projected to remain stable, moving from 32.7% in 2023 to 38.8% in 2026, while the combined ratio is expected to be 67.7% in 2026, up from 51.8% in 2023.

Stockmens’ profit before tax is also on an upward trajectory, from $591,000 in 2023 to an estimated $1.022 million in 2026. These figures, based on management estimates for 2026, highlight the consistent profitability and growth potential of the acquired entities.

Leadership Transition and Integration Strategy

A significant aspect of the transaction involves a leadership transition. Scott Tannas, currently Board Chair of Western, will step down from that role upon closing to become Chief Executive Officer of Canadian Farm and Stockmens. He will, however, remain a director of Western. Paul Rivett, Western’s current CEO, will assume the role of Chair of Western.

Mr. Tannas expressed his enthusiasm for his new role, stating, “I have known the Canadian Farm operation for many years, and I am excited to step into the CEO role. Through Lee and Brian Nilsson’s lifetime of dedication to the cattle industry, Canadian Farm has earned the trust of producers and auction markets across Western Canada, and I look forward to building on the foundation that Lee, Brian and the team established, while growing this much-needed business.”

Brian and Lee Nilsson, Co-CEOs of NBI, affirmed their support, noting, “Canadian Farm has served producers with coverage designed by people who understand the cattle business. We are proud of what we have built here in Western Canada and look forward to supporting the continued growth of Canadian Farm under Western’s ownership and Scott’s direction.” Consistent with Western’s philosophy, Canadian Farm and Stockmens will operate on a decentralized basis, with Western providing capital and expertise as required. The sellers have also agreed to guarantee $7.0 million in aggregate annual pre-tax earnings across the acquired businesses in each of the first two years following closing, providing a financial safeguard for Western.

Concurrent Private Placement

To fund the cash consideration for the acquisition, Western has engaged Desjardins Capital Markets and TD Securities Inc. as joint lead agents and joint bookrunners for a concurrent best efforts private placement. This offering aims to issue approximately 50 million common shares at a price of $1.00 per share, targeting gross proceeds of approximately $50 million. The net proceeds of the Private Placement are expected to be used to fund the cash consideration payable in connection with the Transaction. The private placement will be conducted in Canada under applicable exemptions and in the United States pursuant to available registration exemptions. Prior to closing, NBI may elect to receive up to $10.5 million of the purchase price through the issuance of approximately 9.8 million common shares of Western at a price of $1.07 per share, representing the 90-day volume-weighted average price as of the definitive agreement signing.

The transaction is expected to close in the first quarter of 2027, subject to the aforementioned regulatory approval from the Alberta Minister of Finance, acceptance by the TSX Venture Exchange, and other customary closing conditions. This strategic maneuver by Western Investment Company of Canada Limited signifies a clear intent to diversify and expand its operational footprint into specialized, profitable insurance segments. By integrating Canadian Farm and Stockmens, Western not only gains access to a proven, cash-generative business with proprietary distribution channels but also positions itself for further growth within the underserved livestock insurance market, underpinned by experienced leadership and a robust financing strategy.
